Terms of Service

1. Service Provider and Contact Details.

Sylius Connect is operated by Sylius sp. z o.o., with its registered address at ul. Ostróżki 2/3, 86-005 Białe Błota, Poland, NIP (VAT ID) 7272867768, REGON 524874153, entered into the Register of Entrepreneurs of the National Court Register under KRS number 0001028152. You can contact us at [email protected]. In these Terms, Sylius sp. z o.o. is referred to as the "Provider", "we" or "us". Sylius Connect is an electronic service within the meaning of the Polish Act of 18 July 2002 on Provision of Electronic Services.

2. Definitions and Who These Terms Apply To.

"Sylius Connect" is an OAuth 2.0 / OpenID Connect single sign-on identity provider used to authenticate users and to issue authorization tokens and identity claims for access to compatible services. "User" means any natural person using Sylius Connect. "Consumer" means a User acting for purposes that are wholly or mainly outside that User's trade, business, craft or profession, as defined by applicable consumer law. "Business User" means a User acting for purposes within that User's trade, business, craft or profession. "Relying Party Service" means any Sylius ecosystem service or other compatible service that integrates with Sylius Connect and that you choose to access using Sylius Connect. These Terms govern only Sylius Connect. Each Relying Party Service is governed by its own terms, rules and policies, and those may restrict access to certain categories of users (for example, some services may be intended only for entrepreneurs or business users). Using Sylius Connect does not, by itself, grant you any right to purchase, order or use paid services offered by any Relying Party Service.

3. Contract Nature and Duration.

By creating a Sylius Connect account, you enter into a contract for the supply of a digital service within the meaning of Directive (EU) 2019/770 and relevant Polish consumer protection rules implementing that directive. The service is provided free of monetary charge. However, in order to use the service you provide personal data that is necessary for authentication and identity management, and under EU law such data may constitute counter-performance in the context of certain digital services. The contract is concluded for an indefinite period and remains in force until your account is deleted or terminated in accordance with these Terms.

4. Description of the Service.

Sylius Connect provides centralized authentication and authorization, including account creation, login, password-based authentication, issuance of session identifiers and security tokens, and OAuth 2.0 / OpenID Connect authorization flows that allow you to authenticate to Relying Party Services. Sylius Connect may display to you, during the authorization process, the identity claims and scopes requested by a Relying Party Service, and will share identity claims with that service only when you actively authorize that disclosure through the authorization flow. Sylius Connect is not an online store and does not itself offer products or paid commercial services for sale.

5. Technical Requirements, Functionality, Compatibility and Interoperability.

To use Sylius Connect you need an internet-connected device, a modern web browser capable of establishing secure TLS/HTTPS connections, and an active email address. The service relies on standard web technologies that may require enabling cookies and similar strictly necessary storage mechanisms for session and security purposes. Sylius Connect interoperates with Relying Party Services through OAuth 2.0 and OpenID Connect standards; interoperability depends on correct implementation by the Relying Party Service and may be affected by the Relying Party Service's configuration, maintenance or availability. The Provider is not responsible for the availability or functionality of third-party Relying Party Services that the Provider does not operate.

6. Account Creation and User Information.

When you create an account you must provide accurate and up-to-date information. At minimum, Sylius Connect requires an email address and your first and last name, and you will set a password (which is stored only in hashed form). You are responsible for keeping your credentials confidential and for any activity performed under your account. If you suspect unauthorized access, you must notify us promptly at [email protected] and take reasonable steps to secure your account, including changing your password where possible.

7. Authorization, Identity Claims and Your Control.

When you choose to sign in to a Relying Party Service using Sylius Connect, that service may request certain identity claims (for example, a unique identifier, email address, name and email verification status). Sylius Connect will show you what is being requested as part of the authorization step, and will share claims only if you authorize the request. You can revoke a previously granted authorization through your Sylius Connect account settings (if available) or by using the revocation mechanisms provided by Sylius Connect, and after revocation the Relying Party Service should no longer be able to obtain new tokens or updated claims via Sylius Connect, although it may continue processing data it already received under its own policies and legal obligations.

8. Acceptable Use and Prohibited Conduct.

You must use Sylius Connect lawfully and in a manner consistent with these Terms. You must not attempt to gain unauthorized access to other accounts or systems, interfere with or disrupt the service or its infrastructure, misuse OAuth tokens, attempt to bypass security mechanisms, perform automated or abusive requests that degrade service performance, reverse engineer the service except to the extent permitted by mandatory law, or use Sylius Connect to facilitate unlawful activity. You must not share access tokens or authentication credentials with unauthorized parties.

9. Availability, Maintenance and Interruptions.

We aim to provide Sylius Connect with reasonable continuity and security. However, the service may be temporarily unavailable due to maintenance, updates, security reasons or technical failures. Where reasonably possible, we will provide advance notice of planned maintenance that may affect availability. We may take urgent measures without prior notice if necessary to protect security, integrity or availability.

10. Conformity and Updates.

We undertake to supply Sylius Connect in conformity with this contract and with the objective requirements applicable to digital services, including appropriate security and functionality for an identity provider of this kind. We will provide updates, including security updates, that are necessary to keep the service in conformity for the duration of the contract. You are responsible for installing updates on your device and using a supported environment (such as an up-to-date browser), where such updates are necessary for the service to function securely.

11. Remedies for Lack of Conformity.

If Sylius Connect is not in conformity with the contract, you may request that we bring it into conformity. If bringing the service into conformity is impossible or would involve disproportionate costs, you may terminate the contract, in accordance with Directive (EU) 2019/770 and applicable Polish consumer law. Because the service is free of charge, termination or other remedies generally do not involve refunds, but will result in the closure of your Sylius Connect account and discontinuation of the service for you.

12. Complaints.

If you wish to submit a complaint about Sylius Connect, you may do so by contacting [email protected] or writing to Sylius sp. z o.o., ul. Ostróżki 2/3, 86-005 Białe Błota, Poland. To facilitate handling, please describe the issue and provide information enabling us to identify your account. We will respond without undue delay, and in any event within 14 days of receipt.

13. Termination and Suspension.

You may terminate the contract at any time by deleting your account or requesting deletion through the available account mechanisms. We may suspend or terminate your account if you materially breach these Terms, if your account is used in a way that threatens security or integrity, or if we are required to do so by law. Where reasonably possible and appropriate, we will provide prior notice, typically 14 days, and an explanation of the reasons. We may act immediately without prior notice where immediate action is necessary for security reasons, to prevent fraud, or to comply with legal obligations.

14. Right of Withdrawal for Consumers.

If you are a Consumer and this contract is concluded at a distance, you have the right to withdraw from the contract within 14 days of concluding it without giving any reason. To exercise the right of withdrawal, send a clear statement of your decision to [email protected] or write to Sylius sp. z o.o., ul. Ostróżki 2/3, 86-005 Białe Błota, Poland. Because Sylius Connect is provided free of monetary charge, withdrawal does not involve any payment reimbursement. Upon withdrawal, we will close your account and stop providing the service to you, subject to any lawful data retention described in our Privacy Policy.

15. Liability.

We are liable for non-performance or improper performance under applicable law, including mandatory consumer protection rules. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for intentional misconduct, gross negligence, death or personal injury caused by negligence, fraud, or mandatory statutory remedies. To the extent permitted by law, and in particular in business-to-business relationships, liability may be limited to direct damages that are foreseeable and directly caused by our breach, excluding indirect damages such as lost profits, loss of goodwill or business interruption.

16. Intellectual Property.

Sylius Connect, including its software, interfaces, and underlying components, is protected by intellectual property laws. These Terms do not transfer any intellectual property rights to you. You may use Sylius Connect only as permitted by these Terms and applicable law.

17. Changes to These Terms.

We may amend these Terms where required by law, for security reasons, to reflect changes in the service, or for other valid reasons. If changes are material, we will inform you in advance, typically at least 30 days before the effective date, by email or by a prominent notice in the service. If you do not agree to the changes, you may terminate the contract before the changes take effect. If you continue using Sylius Connect after the effective date, this will be treated as acceptance to the extent permitted by applicable law.

18. Governing Law, Courts and Alternative Dispute Resolution.

These Terms are governed by the laws of Poland. If you are a Consumer habitually resident in the European Union, you also benefit from mandatory consumer protection provisions of the law of your country of residence, and you may bring proceedings in the courts of your country of residence as provided by applicable law. Consumers may also use out-of-court dispute resolution mechanisms available under applicable Polish and EU rules. The European Commission provides an Online Dispute Resolution platform; information is available via the European Commission website under the path ec.europa.eu/consumers/odr.

19. Severability.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be replaced by a valid provision that best reflects the original intent, to the extent permitted by law.
